A Limited Liability Company (LLC) is the most common form of business entity in Ukraine. The company has an authorised capital divided into shares among its participants.
The key advantage of an LLC is limited liability: participants are liable for the company’s obligations only to the extent of their contributions to the authorised capital. In other words, the personal assets of the participants are not at risk (except in specific cases provided by law).
Who Can Be a Founder?
The founders of an LLC may be:
- Individuals (Ukrainian citizens or foreign nationals);
- Legal entities — both Ukrainian and foreign companies.
The number of participants may not exceed 100. An LLC may be established by a single person.
However, Ukrainian law does not allow an LLC to have as its sole founder a company that itself has only one individual participant.
How LLC Registration Works
The registration procedure is relatively fast; however, proper document preparation is essential to avoid rejection or resubmission.
1. Preparatory Stage
It is necessary to determine the key parameters of the future company:
- Company name — must be unique (verified in the Unified State Register);
- Registered address — the official location of the company;
- Business activities (KVED codes) — the types of economic activity;
- Authorised capital — its amount and distribution among participants;
- Tax system — depending on the business model.
2. Preparation of Documents
For registration, the following documents are required:
- Passport and tax identification number (for an individual founder);
- If the founder is a foreign company — an extract from the commercial register of its country of incorporation, duly apostilled.
If the founder is a foreign individual, it is necessary to:
- Obtain a Ukrainian tax identification number;
- Provide a notarised translation of the passport.
If the director is a foreign national, a work permit must be obtained.
Once prepared, the documents are submitted to the Administrative Services Centre or a notary.
Registration Timeframe
State registration of an LLC takes up to 24 hours.
After registration, the information is automatically transmitted to the tax authorities, statistics authorities, and the Pension Fund.
Confirmation of registration is provided in the form of an extract from the Unified State Register.
Choosing a Tax System
During registration, the company may choose one of the available taxation systems.
Simplified Tax System (Single Tax)
Group 3
Suitable for most small and medium-sized businesses:
- Annual revenue up to UAH 10 million;
- No limitation on the number of employees;
- Tax rate:
- 3% of turnover + VAT; or
- 5% of turnover without VAT.
Group 4
Designed for agricultural enterprises. The tax rate depends on the type and area of agricultural land.
General Tax System
The company pays:
- 18% corporate income tax;
- VAT (if applicable).
Mandatory VAT Registration
A company must register as a VAT payer if, during the last 12 months, its taxable turnover exceeds UAH 1 million (excluding VAT).
Additional Steps After Registration
Following state registration, the company should:
- Apply for the simplified tax system (if applicable);
- Register as a VAT payer (if required);
- Register as a payer of unified social contributions (USC);
- Open a corporate bank account.
After opening a bank account, the company may fully commence its business activities.
